Platform

Fiscal Year

BettorToken operates on an April-to-April fiscal cycle. FY1 = April 2025 to April 2026.

Rejection Rate

The percentage of candidate sports markets that BettorToken's analytical platform declines on structural grounds — currently approximately 99.7%.

FYN

Fixed Yield

A predetermined return rate that does not change based on platform performance — paid as a contractual obligation.

Senior Unsecured

A debt instrument that ranks ahead of subordinated debt in repayment priority but is not backed by specific collateral.

SPLT

Annual Differential

BettorToken-specific term: the gain or loss in SPLT NAV measured from $1.00 base at the start of a fiscal year to NAV at the next April reset.

NAV (Net Asset Value)

The per-unit value of a token or fund, calculated as total assets minus liabilities divided by units outstanding.

NAV Reset

On the first business day of April each year, SPLT NAV resets to $1.00 base. The Annual Differential is distributed to investors in cash or additional SPLT.

Utility Credential

A digital instrument that provides functional access to a platform or service, classified as non-security when properly structured.

Legal

Howey Test

The U.S. Supreme Court test for determining whether an instrument is a security. SPLT is structured to fall outside the Howey definition.

Offering Memorandum

The detailed legal document describing the terms, risks, and structure of a private placement.

Reg D 506(c)

A U.S. securities exemption that allows a company to advertise a private offering publicly, but only accept investment from verified accredited investors.

Eligibility

Accredited Investor

An individual or entity meeting SEC income or net worth thresholds — generally $200K+ annual income, $1M+ net worth excluding home, or institutional status.

Allocator

An institution or sophisticated investor that allocates capital across multiple managers, strategies, or instruments.

Family Office

A private wealth advisory firm serving one (single-family) or multiple (multi-family) high-net-worth families.

Qualified Counterparty

A verified accredited investor or institutional allocator who has executed an NDA with BettorToken and completed initial qualification.

Qualified Purchaser

A higher SEC standard than accredited investor — typically requires $5M+ in investments. Used for certain pooled investment vehicles.

RIA

Registered Investment Advisor — a fiduciary regulated by the SEC or state securities authorities to provide investment advice to clients.

Process

KYC / AML

Know-Your-Customer and Anti-Money-Laundering protocols. BettorToken uses Plaid for identity verification and OFAC screening.

NDA

Non-Disclosure Agreement. Required before BettorToken shares the offering memorandum, legal opinion, or detailed diligence materials.

Placement Agent

A FINRA-registered broker-dealer that introduces qualified investors to private offerings.

Technology

Permissioned Ledger

A private blockchain where only authorized parties can validate or read transactions — used for institutional recordkeeping, not retail trading.

XDC Network

An enterprise-grade blockchain optimized for institutional financial applications. BettorToken uses a permissioned XDC deployment.
